Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and [LEGAL ENTITY] ("Zygari," "we," "us," or "our") governing your use of the Zygari website and services (the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and able to form a binding contract. If you use the Service on behalf of a company or organization, you represent that you are authorized to bind that entity, and "you" includes that entity.

2. The Service

Zygari is an anonymous marketplace that helps mortgage and real estate professionals ("talent") and hiring parties ("recruiters," and companies or brokerages) discover one another and communicate. Zygari provides the platform only. We are not an employer, employment agency, staffing firm, or party to any employment, independent-contractor, or business relationship formed through the Service.

3. Accounts

• You must provide accurate information and keep it current.
• You are responsible for safeguarding your password and for all activity under your account.
• Recruiting accounts may invite additional team members ("seats"); the account owner is responsible for their team's use of the Service.
• Notify us promptly of any unauthorized use.

4. Subscriptions, Billing, and Cancellation

• Plans. Some features require a paid subscription. Prices and plan details are shown in the Service and processed through Stripe.
• Auto-renewal. Subscriptions renew automatically for successive billing periods until cancelled. By subscribing, you authorize us (through Stripe) to charge your payment method on a recurring basis.
• Upgrades. When you upgrade your plan, add seats, or add states, the change takes effect immediately and your billing cycle resets to that day. You are credited for the unused portion of your current period against the new plan and charged the balance at that time.
• Reductions. Downgrades and reductions take effect at the end of your current billing period. You keep access until then, and no credits or refunds are issued for reductions.
• No refunds. Except where required by law, payments are non-refundable, and we do not provide refunds or credits for partial periods, unused features, or unused seats or states.
• Cancellation. You may cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period, and you retain access until then.
• Changes. We may change prices or plans on prospective notice; changes apply to your next billing period.
• Taxes. Amounts are exclusive of any applicable taxes, which are your responsibility.

5. Acceptable Use

You agree not to:

• Post false, misleading, unlawful, or infringing content, or impersonate any person or entity.
• Harass, threaten, or discriminate against other users, or send spam or unsolicited solicitations.
• Attempt to de-anonymize, scrape, harvest, or collect other users' information except as the Service intends.
• Circumvent plan limits, coverage restrictions, or access controls, or share paid access outside your account.
• Introduce malware, disrupt the Service, or attempt to gain unauthorized access.
• Use the Service to violate any applicable law or licensing, employment, or fair-hiring regulation.

6. User Content and Messaging

You retain ownership of the content you submit ("User Content"). You grant Zygari a non-exclusive, worldwide, royalty-free license to host, display, and transmit your User Content as needed to operate the Service, including displaying anonymized listings and delivering your messages to users you connect with. You are solely responsible for your User Content and communications, and you represent that you have the rights to share them. We may remove content or suspend accounts that violate these Terms.

7. Marketplace Disclaimer

Zygari does not verify the identity, licensing, credentials, qualifications, statements, or conduct of any user, and does not guarantee any hiring outcome, response, job, placement, income, or result. All interactions, negotiations, offers, and agreements are solely between the users involved. You are responsible for conducting your own due diligence, including verifying licenses and complying with applicable employment, licensing, and fair-hiring laws. Zygari is not responsible for the actions or omissions of any user.

8. Intellectual Property

The Service, including its software, design, and trademarks (including the Zygari name and logo), is owned by Zygari and protected by law. We grant you a limited, revocable, non-transferable license to use the Service for its intended purpose. You may not copy, modify, distribute, or create derivative works except as expressly permitted.

9. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or to protect the Service or other users. Upon termination, your right to use the Service ends. Sections that by their nature should survive (including Sections 4, 7, and 10–13) will survive.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free.

11. Limitation of Liability

To the maximum extent permitted by law, Zygari and its owners, officers, and providers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from or related to your use of the Service. Our total liability for any claim will not exceed the greater of the amounts you paid to us in the twelve months before the claim or one hundred U.S. dollars (US$100).

12. Indemnification

You agree to indemnify and hold harmless Zygari from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your User Content, or your violation of these Terms or applicable law.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of [STATE], without regard to conflict-of-law rules. The exclusive venue for any dispute not subject to arbitration will be the state or federal courts located in [STATE], and you consent to their jurisdiction.
